What this page uses
The October 2026 Tax Counsel News says the Comptroller began mailing the Texas Notice of Forfeiture of Right to Transact Business on Sept. 29. If the right to transact business is not revived before Jan. 29, 2027, the entity's registration with the Secretary of State will be forfeited. That issue is October 2026, so Sept. 29 is September 29, 2026.
The 2026 forms page says the No Tax Due Report is not available. An entity at or below the no tax due threshold still files a Public Information Report (Form 05-102) or an Ownership Information Report (Form 05-167). That page lists the 2026 threshold as $2.65 million. The rate table lists $2,650,000 for 2026 and 2027. The notices page says there is no $50 penalty for a late Public Information Report or Ownership Information Report.
The reinstatement page says to file outstanding reports, pay tax, penalty, and interest, then request a tax clearance letter in Webfile or on Form 05-391. The Comptroller issues Form 05-377. Form 801 instructions say the Secretary of State filing fee is $75, unless the entity is a nonprofit corporation. There is no fee for a nonprofit corporation following a tax forfeiture.
